1. General Provisions

1.1. These Terms and Conditions (“Terms”) govern the use of the Pay.Partners online platform (“Platform” or “Service”), owned and operated by Pay.Partners. By accessing or using the Service, the User agrees to be bound by these Terms.

1.2. The Platform is a technological solution that enables Users to access and manage certain operational workflows, including virtual card functionality, card-management actions, and activity information, through integrations with independent third-party service providers. Such functionalities are made available in cooperation with licensed payment service providers, crypto-asset service providers, or other regulated entities operating in accordance with applicable regulatory requirements. The specific scope of functionality and the conditions for its use are defined in these Terms and other applicable documentation.

1.3. The Platform includes features that allow Users to manage their activities within the Service by interacting with various tools, interfaces, and functionalities made available on the Platform. Access to and availability of certain features may depend on technical, regulatory, or third-party requirements.

2. Definitions

2.1. Agreement – an agreement formed between the User and BlueWave Tech Ltd (operating as Pay.Partners) upon the User’s acceptance of these Terms, governing access to and use of the Platform.

2.2. Platform – the Pay.Partners online platform and technological environment available at https://pay.partners/, owned and operated by BlueWave Tech Ltd, through which the User accesses the functionalities described in these Terms.

2.3. Platform Services – the technological tools and functionalities made available to the User on the Platform, primarily intended to facilitate operational needs related to media buying, including the use of digital wallet interfaces, virtual card functionality, card-management actions, and access to activity and balance information. Pay.Partners provides technological access only and does not itself provide advertising, financial, payment, or money-transfer services.

2.4. Platform User / Service Recipient – a person who has created or joined an Organization on the Platform, has access to a Platform User Account, and uses the Platform Services, including the ability to purchase and receive Advertising Services from the Advertising Service Provider through the Solutions available on the Platform.

2.5. Platform User Account – the authenticated access profile assigned to a User for logging into the Platform and using the Platform Services.

2.6. Service Agreement – an independent agreement concluded solely between the User and the Advertising Service Provider for the purchase and receipt of Advertising Services. Pay.Partners is not a party to the Service Agreement, does not participate in, mediate, or manage any relationships between the User and the Advertising Service Provider, and assumes no obligations or liability in connection with Advertising Services.

2.7. Solution – a technological tool made available on the Platform that enables the User to initiate or manage certain actions supported by third-party service providers. The Solution is provided for technical enablement only and does not constitute an advertising, financial, payment, or money-transfer service. Pay.Partners is not responsible for the execution or outcome of any actions initiated through the Solution.

2.8. Advertising Services – services provided exclusively by an Advertising Service Provider to the User under a separate service agreement between the User and that provider. Pay.Partners is not a party to such services or agreements and assumes no responsibility in connection with them.

2.9. Advertising Service Provider – any third-party platform or service provider selected by the User for the purchase and receipt of Advertising Services. Pay.Partners does not endorse, control, or represent any Advertising Service Provider.

2.10. Price List – the schedule of fees, charges, or commissions applicable to the User’s use of the Platform Services, as determined by Pay.Partners and communicated to the User through the Platform or by other means.

2.11. Managed Account – an advertising account within Meta (Facebook Ads) or Google Ads that is made available to the User through the Platform on a purchase basis, as further described in Section 17 of these Terms and in the applicable Managed Account Terms presented within the Platform at the point of ordering.

2.12. Party / Parties – individually, Pay.Partners or the User; collectively, both.

3. Subject of the Agreement

3.1. The Agreement establishes the terms under which the User is granted access to and permitted to use the Platform, including the Platform Services and the functionalities made available through the Solutions.

3.2. The Platform provides technological tools that enable the User to interact with third-party service providers selected by the User, including Advertising Service Providers, in order to purchase and receive Advertising Services or perform other actions supported by such providers.

3.3. Pay.Partners provides technological access to functionalities that interface with external service environments operated by licensed payment service providers, crypto-asset service providers, or other regulated third-party providers. Any operations initiated by the User through such functionalities are carried out independently within those external environments. Pay.Partners does not control or participate in the execution or authorization of such operations.

3.4. The User acknowledges that the Platform functions solely as a technological facilitator and interface and that the scope, availability, quality, and results of any external systems accessed through the Platform remain the exclusive responsibility of the respective third-party service providers.

3.5. The User acknowledges that the use of the Platform is subject to technical, regulatory, and compliance requirements applicable to Pay.Partners and to independent third-party service providers involved in enabling the Platform Services. Pay.Partners may take measures it considers necessary to comply with such requirements, including restricting access to certain functionalities or suspending the User’s ability to use specific tools or Solutions. Pay.Partners is not required to disclose the nature or source of any such requirements or measures.

3.6. Pay.Partners is not responsible for any rules, thresholds, or limitations applied within external environments in which such actions occur.

4. Conclusion of the Platform Use Agreement

4.1. The Agreement between the User and Pay.Partners is concluded when the User completes the registration process on the Platform and accepts these Terms. By registering and using the Platform, the User confirms their willingness to enter into the Agreement under the conditions described herein.

4.2. If the User chooses to purchase or use services offered by third parties, including Advertising Services, such services are provided under a separate service agreement between the User and the respective third-party provider. Pay.Partners is not a party to such agreements, does not represent any third-party provider, and assumes no obligations or liability related to third-party services.

4.3. Pay.Partners provides technological access to functionalities that may interface with external services. Pay.Partners is not involved in, and does not control, the execution or performance of any transactions or services carried out within those external environments. Any payments or services used by the User are subject exclusively to the terms, processes, and availability defined by the external providers.

5. Registration on the Platform and Creation of User Account

5.1. To access and use the Platform Services, the User must complete the registration process on the Platform and create a Platform User Account. The Agreement between the User and Pay.Partners is deemed concluded upon the User’s acceptance of these Terms during registration.

5.2. During registration, the User is required to provide certain information necessary for creating a Platform User Account, including the name of the Organization, the name and email address of the initial administrator, a mobile phone number, and a messenger contact. Additional information may be requested if required for the proper operation and security of the Platform.

5.3. After creating the Platform User Account, the User gains access to the functionalities of the Platform, including the Solutions made available within the Service. Access to certain functionalities may depend on technical, regulatory, or third-party requirements.

5.4. The creation of a Platform User Account does not provide the User with any financial balance, stored value, credit, or monetary allocation. Any balance or transactional information that may appear within the Platform is displayed solely as part of the Platform’s functionality and does not reflect funds held or managed by Pay.Partners.

6. Initiating Platform Use or Service Scope

6.1. The Platform User may begin using the Platform after creating a Platform User Account and gaining access to the Solutions made available within the Service, as described in these Terms.

6.2. The Platform User independently selects any third-party services they wish to use, including Advertising Services, and is solely responsible for any actions required to obtain such services. Pay.Partners does not provide Advertising Services and does not participate in or influence the User’s relationship with any third-party service providers.

6.3. The Platform may offer various technological options that allow the User to interact with or utilize Solutions provided by independent third-party partners. The availability of specific options may depend on technical, regulatory, or provider-related requirements.

6.3.1. The Platform User may, at their own discretion, use the tools made available on the Platform to interact with the selected third-party services.

6.3.2. In certain cases, the Platform may display or enable access to Solution-related options offered by independent partners. The Platform may provide the User with the ability to choose among such options; however, all actions and decisions remain solely the responsibility of the User.

6.4. The Platform User acknowledges that any actions taken to interact with or utilize the Solutions – including those necessary to obtain Advertising Services – are carried out independently by the User and are not performed by Pay.Partners.

6.5. The Platform User recognizes that Pay.Partners may suspend or restrict access to the Solutions or to specific functionalities for technical, regulatory, or compliance-related reasons without prior notification.

7. Acceptable Use and Prohibited Activities

7.1. The User is responsible for maintaining the confidentiality of their login credentials and for all activities performed through their Platform User Account. Any actions performed after logging in with valid credentials are deemed to have been performed by the User.

7.2. The User may use the Platform only for lawful purposes and in accordance with these Terms. By creating a Platform User Account, the User confirms that they are aware of the actions prohibited when using the Platform and any virtual cards made available to them and agrees not to use the Platform or such cards to:

– violate any applicable national, international, governmental, or regulatory laws or requirements;
– harm, exploit, or attempt to harm or exploit minors in any manner, including through exposure to inappropriate content or attempts to obtain personal information;
– impersonate Pay.Partners, its personnel, another User, or any other person or entity;
– engage in any activity that may disrupt, limit, or interfere with the proper functioning of the Platform or may cause harm or liability to Pay.Partners or other Users.

7.3. Virtual cards accessible through the Platform may only be used for lawful commercial purposes, including media buying activities such as online advertising purchases and subscription payments. The User is strictly prohibited from using virtual cards for:

– activities related to debt collection or debt recovery agencies;
– financial pyramid schemes or multi-level marketing programs;
– materials, goods, or services that encourage or facilitate unlawful activities;
– pornography, adult content, or any adult-oriented goods or services;
– any materials containing illegal or non-consensual content, including content involving minors or otherwise prohibited by applicable law or card network rules;
– activities involving money laundering, terrorism financing, or any other unlawful financial behavior;
– operations involving substances or materials prohibited by law;
– activities involving objects or items withdrawn from legal circulation.

7.4. Pay.Partners is not responsible for any business outcomes resulting from the User’s reliance on Platform functionality, including advertising performance, budget allocation, or media-buying decisions.

8. Payment-Like Functionalities

8.1. The Platform User may, at their own discretion, use the Solutions available on the Platform to initiate payments to third-party service providers, including Advertising Service Providers. Pay.Partners does not control or participate in the execution of such transactions.

8.2. Pay.Partners is not responsible for the execution, availability, performance, success, or failure of any payment or transaction initiated through tools provided by third-party providers integrated with the Platform. All such operations are carried out exclusively under the terms established by the respective third-party providers.

8.3. Any approval or decline of a transaction initiated through functionalities available on the Platform is determined solely by the systems in which such transactions are executed. Pay.Partners does not configure, control, or influence the criteria or rules that determine whether a transaction is authorized or declined.

8.4. Pay.Partners does not guarantee that any attempted payment, authorization request, or transaction initiated through Platform functionality will be successful.

9. Fees

9.1. Fees related to the use of the Platform Services, if applicable, are indicated in the Price List or otherwise communicated to the User. Pay.Partners may modify the Price List at any time. Any applicable fees must be paid by the User in accordance with the terms communicated to them.

10. Platform Services

10.1. To enable Users to access specific functionalities available on the Platform, Pay.Partners provides technological access to certain tools and service components integrated into the Platform. The availability and scope of these functionalities may depend on technical, regulatory, or external system requirements.

10.2. The User may use functionalities on the Platform that allow them to request the addition of funds to wallets or accounts supported by external service infrastructures. All conditions, limits, and processing rules applicable to such actions are determined by the respective external systems and not by Pay.Partners.

10.3. The User may request withdrawals using functionalities supported by external systems integrated into the Platform. The timing, availability, applicable fees, and completion of such operations are governed by the rules of the external systems responsible for executing such actions.

10.4. The User may initiate asset or currency conversions through functionalities supported by external service infrastructures. All conversion parameters, including rates, fees, and processing rules, are determined solely by the external systems providing such functionality.

10.5. The User acknowledges that all operations described in this Section are executed within external systems according to their applicable terms and requirements. Pay.Partners provides only technological access to such functionalities and does not operate or control the environments in which such operations are carried out.

11. Information Display

11.1. Pay.Partners displays information related to the User’s activity within the Platform based on data received from external systems that support the functionalities accessible through the Platform. The information reflected in the User interface, including details of transactions initiated by the User and any applicable fees, is provided for convenience only and may depend on the data transmitted by external systems.

12. Confidentiality and Data Protection

12.1. The Parties undertake to keep confidential all non-public technical and commercial information received from each other in connection with the use of the Platform and shall not disclose such information to third parties unless required by law or expressly permitted by the disclosing Party.

12.2. The processing of personal data is governed exclusively by the Privacy Policy available on the Platform. By using the Platform, the User acknowledges and accepts the Privacy Policy.

13. Service Availability Limitation

13.1. The availability and performance of the Platform may be affected by factors beyond the reasonable control of Pay.Partners, including technical failures, outages, or the unavailability of external systems or services. Pay.Partners is not liable for any delay, interruption, or limitation of the Platform caused by such external factors.

14. Compliance and Legal Obligations

14.1. Users may not use the Platform if they are listed on any sanctions or restricted-party list issued by any competent authority. The User agrees to notify Pay.Partners if they become subject to such restrictions during their use of the Platform.

14.2. The User shall use the Platform in compliance with all applicable laws and regulations, including but not limited to those relating to data protection, advertising, consumer protection, and the lawful use of payment instruments.

14.3. The User confirms that any information they provide while using the Platform is accurate and not misleading to the best of their knowledge.

14.4. The User shall not use the Platform to engage in, support, or facilitate unlawful activities, including activities related to money laundering, terrorism financing, proliferation, or other prohibited conduct. Nothing in these Terms shall be interpreted as requiring Pay.Partners to perform or provide AML, KYC, or similar compliance procedures.

14.5. Pay.Partners may suspend or terminate access to the Platform if it reasonably suspects that the User is acting in violation of applicable laws, these Terms, or third-party requirements. Such suspension or termination may occur without prior notice.

14.6. Nothing in these Terms shall be interpreted as creating an obligation for Pay.Partners to monitor User activity beyond what is technically necessary to operate the Platform.

15. Card Functionality

15.1. The Platform may provide access to virtual card functionality for User convenience. The availability, scope, and performance of this functionality are not guaranteed and may be limited, suspended, or discontinued based on technical, operational, or regulatory considerations. Users must meet the eligibility requirements established by the Platform, including the minimum age requirement of 18 years. Pay.Partners is not responsible for any limitations, interruptions, or changes affecting the virtual card functionality.

15.2. Pay.Partners may restrict or discontinue the use of any virtual card if required for operational, security, or compliance reasons.

15.3. Pay.Partners does not guarantee that any virtual card functionality will remain available or unchanged at any time.

15.4. Pay.Partners does not guarantee that any virtual card will be accepted by any merchant, platform, or service.

16. Other Terms

16.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales, unless otherwise required by mandatory applicable law.

16.2. Any disputes arising out of or in connection with these Terms shall be resolved in the courts of England and Wales, unless the Parties agree otherwise in writing.

16.3. To the maximum extent permitted by law, Pay.Partners is not liable for any indirect, incidental, consequential, or punitive damages. BlueWave Tech Ltd’s total aggregate liability arising out of or relating to the use of the Platform shall not exceed the total amount of fees paid by the User for Platform Services in the three (3) months preceding the event giving rise to the claim.

16.4. Notices related to the use of the Platform may be delivered electronically, including to the email provided by the User during registration. Notices sent by email shall be deemed received on the second business day after dispatch.

16.5. Pay.Partners may amend these Terms from time to time. Changes shall take effect on the date specified in the notice provided to the User. Continued use of the Platform following the effective date of the amended Terms constitutes acceptance of the changes. If the User does not agree to the amendments, they must stop using the Platform and close their Platform User Account.

16.6. Pay.Partners may suspend or terminate access to the Platform if it reasonably suspects that the User is in breach of these Terms, legal requirements, or security policies.

16.7. The User may stop using the Platform at any time. If the User wishes to close their Platform User Account, they may do so by providing notice through the available support channels.

17. Managed Accounts

17.1. Overview. Pay.Partners offers a Managed Account service through which eligible Users may purchase access to advertising accounts within Meta (Facebook Ads) and Google Ads platforms. Managed Accounts are prepared and configured by Pay.Partners and made available to Users through the Platform. The availability of specific account types and offers is subject to change at any time.

17.2. Service Models. The Managed Account service is offered in two formats:

(a) Full Setup. A complete, ready-to-use advertising setup built from scratch, which includes an anti-detect browser profile (AdsPower) with connected proxy, a farmed social profile, a Business Manager, advertising accounts, a connected Facebook Pixel, and tracking configuration. The User receives a fully configured setup ready for traffic launch.

(b) Account Linking. For Users who already have their own Business Manager with full control. Pay.Partners links an advertising account connected to its credit line or another payment method to the User’s existing Business Manager. This is a separate service with distinct pricing.

17.3. Funding and Balance. In both service models, account top-ups are made exclusively through the Platform. Managed Accounts remain active only while a sufficient balance is maintained. The User acknowledges that failure to maintain an adequate balance may result in the suspension of advertising activity within the Managed Account.

17.4. Pricing. Pricing for Managed Accounts consists of two components: a one-time setup fee and a percentage of advertising spend. Exact pricing depends on the specific offer and is either indicated in the current offer sheet published on the Platform or agreed individually with a Platform manager prior to purchase. Pay.Partners reserves the right to update pricing and available offers at any time.

17.5. Usage Restrictions. The permitted use of each Managed Account depends on the specific offer. Certain verticals — including but not limited to cryptocurrency, financial services, and other regulated categories — may be restricted or subject to different pricing and setup conditions for specific accounts. Applicable restrictions are communicated to the User in the offer description or during the pre-purchase consultation with a manager. The User is solely responsible for ensuring that their advertising activity complies with the policies of Meta and Google, as well as with all applicable laws.

17.6. Account Suspension and Bans.

(a) Pre-launch failure. If a Managed Account ceases to function before the User has initiated any advertising activity, Pay.Partners will provide a free replacement account. The User must notify Pay.Partners promptly upon discovering the issue.
(b) Suspension during active use. Account suspensions that occur after the User has commenced advertising activity are a standard operational risk inherent to media buying. Pay.Partners provides the infrastructure and tools for traffic launch but does not control and is not responsible for account moderation decisions made by Meta or Google. Factors such as advertising vertical, campaign content, and account management practices are the sole responsibility of the User. No replacement or refund is provided in such cases.

17.7. Balance Withdrawal. In all cases, including upon account suspension or termination of use, the User may at any time request the withdrawal of the remaining balance from a Managed Account or a full withdrawal of their balance from the Platform. Such requests will be processed in accordance with the standard withdrawal procedures described in Section 10 of these Terms.

17.8. No Guarantee of Results. Pay.Partners does not guarantee any specific advertising outcomes, campaign performance, account longevity, or spend limits in connection with Managed Accounts. The User engages with the Managed Account service on the understanding that advertising account suspensions are a foreseeable and accepted risk of media buying operations.

17.9. Third-Party Platform Policies. Managed Accounts are subject to the terms of service, advertising policies, and enforcement practices of Meta and Google respectively. Pay.Partners has no control over changes to such policies or enforcement decisions made by those platforms and shall not be liable for any consequences arising therefrom.
